  • US Investors: Must qualify as "Accredited Investor" under Regulation D (Rule 501 of the Securities Act of 1933) and preferably as "Qualified Purchaser" under the Investment Company Act
  • Non-US Investors: Must meet equivalent sophisticated/professional investor standards in jurisdiction of residence

Minimum Investment: $25,000 initial subscription / $5,000 additional subscriptions. Lock-Up Period: 1 year minimum. Redemptions: Annual only, 90-day written notice required.

  • US LLC (Fund Vehicle): MERLINSORT LLC, Delaware - holding all fund assets
  • UAE Investment Manager: C and R CAPITALS FCZ LLC, Sharjah Free Zone - exclusive investment management

Jurisdiction: Legal disputes may require resolution in Delaware courts (US) or UAE commercial courts. Enforcement across jurisdictions can be complex and costly.
